Contrato de Licencia de Usuario Final (EULA) / End User License Agreement

1. Aceptación del contrato

Este Contrato de Licencia de Usuario Final ("EULA") regula el uso del software CustodySQL y su agente de backups, operado por CustodySQL.

Al crear una cuenta, instalar el agente, o utilizar el software, el usuario acepta quedar legalmente vinculado por este contrato.

Si no está de acuerdo, no debe utilizar el software.

2. Titularidad del software

CustodySQL y su agente de backups son propiedad exclusiva de CustodySQL.

Este contrato no transfiere propiedad, solo otorga una licencia de uso limitada.

3. Licencia otorgada

CustodySQL concede al usuario una licencia limitada, no exclusiva, revocable e intransferible para:

  • Utilizar la plataforma web de CustodySQL
  • Instalar y ejecutar el agente de backups en sus servidores
  • Almacenar y gestionar backups de bases de datos en Amazon AWS con seguridad empresarial
  • Descargar y restaurar backups cuando sea necesario
  • Beneficiarse de la rotación automática de backups (un respaldo por día del historial, todos del día actual)

Esta licencia es únicamente para fines internos del usuario, sujeta a los límites del plan contratado (3 días para Micro, 7 días para Pro).

4. Restricciones de uso

El usuario NO puede:

  • Copiar, modificar, distribuir o revender el software o el agente
  • Descompilar, realizar ingeniería inversa o intentar extraer el código fuente
  • Usar el software para actividades ilegales, fraudulentas o no autorizadas
  • Compartir credenciales de acceso o API keys con terceros no autorizados
  • Intentar evadir los límites de almacenamiento del plan contratado
  • Realizar pruebas de penetración sin autorización previa escrita

5. Uso del agente de backups

El agente de CustodySQL es una herramienta de automatización de backups.

El usuario es responsable de:

  • La correcta configuración e instalación del agente
  • Verificar que los backups se realicen correctamente
  • Mantener copias de seguridad adicionales según sus políticas internas
  • La seguridad de los servidores donde se instala el agente

6. Datos y contenido del usuario

El usuario conserva la titularidad de todos los datos y backups almacenados en CustodySQL.

CustodySQL:

  • No reclama propiedad sobre los datos almacenados
  • Almacena los backups en Amazon AWS con encriptación del lado del servidor y controles de acceso estrictos
  • Actúa únicamente como proveedor de almacenamiento

7. Actualizaciones y cambios

CustodySQL puede:

  • Actualizar la plataforma y el agente
  • Modificar funcionalidades
  • Implementar mejoras de seguridad

El agente puede actualizarse automáticamente para garantizar seguridad y compatibilidad.

8. Suspensión o terminación

CustodySQL podrá suspender o terminar la licencia si:

  • El usuario incumple este EULA
  • Usa el sistema de forma indebida o ilegal
  • Genera riesgos de seguridad para la plataforma
  • La suscripción no se renueva o es cancelada

El usuario puede dejar de usar el software en cualquier momento cancelando su suscripción.

9. Descargo de garantías

El software se proporciona "tal cual", sin garantías de ningún tipo.

CustodySQL no garantiza:

  • Disponibilidad ininterrumpida del servicio
  • Ausencia total de errores o pérdida de datos
  • Que los backups serán restaurables en todas las circunstancias
  • Compatibilidad con todas las configuraciones de bases de datos

El usuario debe mantener estrategias de backup redundantes y verificar regularmente la integridad de sus backups.

10. Limitación de responsabilidad

En la medida máxima permitida por la ley, la responsabilidad total de CustodySQL bajo este EULA se limitará a la cantidad pagada por el usuario durante los doce (12) meses anteriores a la reclamación.

En ningún caso CustodySQL será responsable por:

  • Pérdida de datos o ingresos
  • Daños indirectos, incidentales o consecuentes
  • Configuración incorrecta del agente por parte del usuario
  • Fallas en los sistemas del usuario

11. Modificaciones del EULA

Este EULA puede actualizarse. El uso continuado del software implica aceptación de los cambios.

12. Ley aplicable

Este contrato se rige por las leyes de la República de Panamá.

1. Agreement Acceptance

This End User License Agreement ("EULA") governs the use of CustodySQL software and its backup agent, operated by CustodySQL.

By creating an account, installing the agent, or using the software, you agree to be legally bound by this agreement.

If you do not agree, you must not use the software.

2. Software Ownership

CustodySQL and its backup agent are the exclusive property of CustodySQL.

This agreement does not transfer ownership, only grants a limited use license.

3. License Granted

CustodySQL grants the user a limited, non-exclusive, revocable, and non-transferable license to:

  • Use the CustodySQL web platform
  • Install and run the backup agent on their servers
  • Store and manage database backups on Amazon AWS with enterprise security
  • Download and restore backups when necessary
  • Benefit from automatic backup rotation (one backup per day in history, all from current day)

This license is solely for the user's internal purposes, subject to the contracted plan limits (3 days for Micro, 7 days for Pro).

4. Usage Restrictions

The user may NOT:

  • Copy, modify, distribute, or resell the software or agent
  • Decompile, reverse engineer, or attempt to extract source code
  • Use the software for illegal, fraudulent, or unauthorized activities
  • Share access credentials or API keys with unauthorized third parties
  • Attempt to circumvent storage limits of the contracted plan
  • Perform penetration testing without prior written authorization

5. Backup Agent Usage

The CustodySQL agent is a backup automation tool.

The user is responsible for:

  • Proper agent configuration and installation
  • Verifying backups are performed correctly
  • Maintaining additional backup copies according to internal policies
  • Security of servers where the agent is installed

6. User Data and Content

The user retains ownership of all data and backups stored in CustodySQL.

CustodySQL:

  • Does not claim ownership of stored data
  • Stores backups on Amazon AWS with server-side encryption and strict access controls
  • Acts solely as a storage provider

7. Updates and Changes

CustodySQL may:

  • Update the platform and agent
  • Modify functionalities
  • Implement security improvements

The agent may update automatically to ensure security and compatibility.

8. Suspension or Termination

CustodySQL may suspend or terminate the license if:

  • The user breaches this EULA
  • Uses the system improperly or illegally
  • Generates security risks for the platform
  • The subscription is not renewed or is canceled

The user may stop using the software at any time by canceling their subscription.

9. Warranty Disclaimer

The software is provided "as is", without warranties of any kind.

CustodySQL does not guarantee:

  • Uninterrupted service availability
  • Complete absence of errors or data loss
  • That backups will be restorable in all circumstances
  • Compatibility with all database configurations

The user must maintain redundant backup strategies and regularly verify backup integrity.

10. Limitation of Liability

To the maximum extent permitted by law, CustodySQL's total liability under this EULA shall be limited to the amount paid by the user during the twelve (12) months prior to the claim.

In no event shall CustodySQL be liable for:

  • Loss of data or revenue
  • Indirect, incidental, or consequential damages
  • Incorrect agent configuration by the user
  • User system failures

11. EULA Modifications

This EULA may be updated. Continued use of the software implies acceptance of changes.

12. Applicable Law

This agreement is governed by the laws of the Republic of Panama.
